We provide general information and handle filings with the New Zealand Companies Office, but we are not a law firm and do not provide legal, tax, accounting, or financial advice.

2. Acceptance of Terms

By using our website or services, you acknowledge that you:

  • Have read, understood, and agree to these Terms; and

  • Are legally capable of entering into binding agreements under New Zealand law.

If you do not agree, please do not use our services.

3. Services Provided

ralphy assists with:

  • Preparing and filing applications for company registration with the New Zealand Companies Office;

  • Providing template documents; and

  • Offering optional administrative and compliance-support packages.

We may update, modify, or discontinue services at any time without prior notice.

4. Pricing and Payment

  • Prices are listed in New Zealand dollars (NZD) and include GST (where applicable).

  • The Companies Office filing fee is charged separately.

  • Payment is required upfront before services commence, unless otherwise stated (for example, in a monthly payment plan).

  • Payments are processed securely through our payment provider (e.g. Wix Payments / Stripe).

  • ralphy reserves the right to change prices at any time, but any confirmed order will not be affected.

5. Refund Policy

Once your company-registration documents have been filed with the Companies Office, fees are non-refundable, as the service has been completed.
If you cancel before filing, we may provide a partial refund at our discretion, less any administrative costs incurred.

6. Use of Website and Content

All website content — including text, graphics, and materials — is owned by or licensed to ralphy.
You may not copy, reproduce, or distribute any material without written permission.

You agree not to use this website for any unlawful purpose or in a way that could impair the operation or security of our services.

7. Customer Responsibilities

You are responsible for:

  • Providing accurate and complete information to enable us to register your company;

  • Reviewing all documents before signing; and

  • Complying with your ongoing Companies Office obligations once the company is registered.

ralphy will not be liable for delays, rejections, or issues arising from incomplete or incorrect information you provide.

8. No Legal Advice (Disclaimer)

ralphy is not a law firm, and none of our services or materials should be construed as legal advice.
While our founder has legal experience, ralphy does not provide advice specific to your situation.
You should always seek independent professional advice before making legal, tax, or financial decisions.
No solicitor–client relationship is created between you and ralphy by using our website or services.

9. Limitation of Liability

To the maximum extent permitted by law:

  • ralphy and its directors, employees, or agents are not liable for any loss, damage, or expense (direct or indirect) arising from your use of our website or services.

  • Our total liability for any claim is limited to the amount paid by you for the relevant service.

Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 or other mandatory New Zealand law.

10. Privacy

Your personal information is collected, stored, and used in accordance with our Privacy Policy, which complies with the Privacy Act 2020 (NZ).
